Board Composition and Skill Matrix Deficits
The Fiction of the Board Skill Matrix
Companies increasingly use skill matrices in proxy statements to project a well-rounded board. However, our 2024 analysis shows a severe discrepancy between claimed expertise (e.g., "Cybersecurity," "AI Strategy") and the actual operational backgrounds of seated directors.
| Claimed Skill | Boards Claiming It (n=500) | Directors with Actual Practitioner Experience |
|---|---|---|
| Cybersecurity / Technology | 82% | 14% |
| ESG / Sustainability | 94% | 22% |
| Capital Allocation / M&A | 98% | 88% |
Common Mistakes
- Equating executive title with specific technical competence. A former retail CEO does not inherently possess cybersecurity expertise simply because their former company had an IT department.
- Over-indexing on current CEOs. Current CEOs lack the bandwidth to effectively serve as lead independent directors during a crisis.
